COMPANY INFORMATION
TRI-D Systems, Inc. increases the security of digital
assets and the trust in online marketplaces, reputations, and
information with strong ID authentication solutions. In order to
realize the greatest flexibility in anywhere authentication from any
device, all of TRI-D’s solutions are based on a
One-Time Passcode (OTP) platform. TRI-D
was first-to-market with deployments of OTP cards that met ISO
credit-card size and flexibility standards. Again, TRI-D
was first to market with a corporate ID card that had OTP for secure
network access and RFID for contactless physical access. In addition,
TRI-D has patented biometric technology that ensures
people are exactly who they claim to be when requesting digital or
physical access. Established in 2003, TRI-D is a
privately held company headquartered in Pasadena, California.
MANAGEMENT
Debra Shatford, CEO and Co-Founder, has a
successful record serving as Chief Executive for high-tech
start-ups. Prior to co-founding TRI-D
Systems, Debra was a co-founder and CEO for ComFind, an
online search service that pioneered "pay-for-placement"
and "local" search in 1995. That company was profitable in two years
and, in 1999, was acquired by NBC Internet, the 7th most popular web
site at that time. At NBC Internet, Debra launched the
Business-to-Business Division where she served as General
Manager. In this capacity, Debra built a team of business development,
product development, customer service and sales people. She also
negotiated strategic alliances with distribution partners and
spearheaded the acquisition of AllBusiness.com. Overall, her 20+ year
career has included executive positions in marketing, sales, operations
and finance. Prior to the "dot-com days", she co-founded a
mortgage brokerage firm and also worked as Managing Director for a
boutique investment-banking firm. Debra holds a B.A. degree from
UCLA.
Will Shatford, CTO and Co-Founder, has 20+ years of
technology development and engineering team management experience.
Prior to co-founding TRI-D Systems, Will
served as CTO for smallbusiness.com and CIO for AllBusiness.com. In
1995, he co-founded ComFind and, as CTO, built one of the
first "pay-for-placement" and "local" online search
engines ever available. When ComFind was acquired in 1999, Will became
VP Engineering for NBC Internet, one of the largest Portals and
eCommerce companies at that time. An experienced inventor, Will was
granted his first patent in 1985 and currently has 2 issued patents and
17 patents pending.
Will was also a manufacturing engineer in the aerospace industry where
he specialized in laser guided weapons and smart munition electronics
and gained further experience in micro controller and printed circuit
board designs when he designed custom thermostats and voice controlled
activation systems. Will has built engineering organizations from
scratch to over 100 people and has a B.S. in Materials Science from
UCLA.
Frank Cusack, Vice President Software Engineering,
develops TRI-D's OTP authentication software. He has
significant experience with network and system security design,
implementation and management. Frank has an extensive background in
developing, implementing, and managing a wide variety of authentication
and authorization systems including Kerberos5, OTP, NIS(+), LDAP,
TACACS+, and RADIUS. Prior to joining TRI-D, Frank was a
Senior System Programmer for Google where, among many other significant
achievements, he founded their IT and Application Security Groups.
Before Google, Frank held senior engineering positions with Qwest
Communications and Voicenet. Frank is an active participant and
contributor to the open source community and is the author of RFC 4256,
"Generic Message Exchange Authentication for the Secure Shell Protocol
(SSH)." He majored in Mathematics at Penn State.

BOARD OF DIRECTORS
Clyde Johnston, Chairman, is formerly
the President and CEO of Innosoft International which was a leading
developer of Internet standards-based messaging and directory solutions
that was acquired by Sun Microsystems in 2000. Prior to Innosoft,
Clyde was president and chairman of the board for the leasing subsidiary
at Memorex and the founder and executive vice president of Leasing
Solutions. He serves on the Board of the Marine Corps Heritage Foundation,
and also served on the Board of Sleepycat Software prior to its
recent acquisition by Oracle. He holds a BS in Engineering from
the University of Colorado and an MBA with High Distinction from
Harvard University.
Debra Shatford, CEO, has a successful

TRI-D Systems, Debra was a co-founder and CEO
for ComFind, an online search service founded in 1995. At NBC Internet,
Debra launched the Business-to-Business Division and
served as its General Manager. She also co-founded a

boutique investment-banking firm from 1988-1991. Debra
holds a B.A. degree from UCLA.
John Isaacson served as an institutional
investment manager in New York and Los Angeles and managed both
equity and fixed income portfolios. He was Chief Investment Officer of
Payden & Rygel, where he was responsible for setting
the firm's overall investment strategy as well as for developing and
managing high-yield and emerging market investment teams. Currently,
John teaches courses at Cal State Los Angeles, serves as a Director of
the Pasadena Angels, and also serves on the Board of Bluebeam Software.
He has a degree in Economics from MIT and graduate degrees in Economics
from Yale University.
DuWayne Peterson was Chief Information
Officer for Merrill Lynch. He also served as EVP of Security Pacific
Bank Corporation and as Chairman of Security Pacific Automation
Company. DuWayne's career also included senior IT management
positions for RCA Corporation, Citibank and Ford Motor Company.
He sits on a number of Boards including that of Community Bank,
MIT and Claremont University and is a founder and Chairman of the
Pasadena Angels. DuWayne holds a B.S. from MIT and a MBA from
UCLA.
Will Shatford, CTO, has 20+ years of

ADVISORY BOARD
Chris Louden is the Chief Technology
Officer for Enspier and is the chief architect of the Architecture
Working Group (AWG) for the government E-Authentication initiative.
Chris was recently named by Federal Computer Week as one of the
"Top Federal 100" for his leadership of the AWG. Previously
he was with FedWorld where he led the design of the IRS.gov
web site, several innovative PKI pilots, and numerous e-commerce
systems. He has a BS in Economics from Mary Washington University
and a MS in Information Systems from George Mason University.
Michael Olson is the former CEO of
Sleepycat Software, the makers of Berkeley DB which is the most
widely-used open source developer database software in the world.
In February, 2006, Sleepycat was acquired by Oracle where Michael
now serves as VP of Embedded Software. Prior to Sleepycat, Olson
served in technical and business management positions at database
vendors Britton Lee, Illustra and Informix. He holds BA and MA degrees
in Computer Science from the University of California at Berkeley.
Scott Southron is the CFO of Lyon
Capital Ventures, Lyon Management Group, Inc. and Lyon Realty Advisors,
Inc and has extensive experience in financial management and the
investment business. Prior to joining the company, he was the CFO
for NWP Services Corporation, co-head of investment
banking at Roth Capital Partners, and has held senior financial and
operational roles at MCI, The Walt Disney Company and Price Waterhouse.
Scott is a graduate of USC and is a certified public accountant.
Derek Brink was most recently with RSA
Security where he served as VP Corporate Strategy and VP Corporate
Development. Previously, he served as product line manager for RSA
SecureID. Derek's experience also includes work for the CIA, HP, and
Sun. He is co-author of the book PKI: Implementing and Managing
E-Security and is a frequent industry speaker offering unique insights
on enterprise and security related technology topics from a solid
business perspective. He has a BS in Applied Mathematics from Rochester
Institute of Technology and an MBA with Honors from Harvard Business
School.
Zareh Baghdasarian is a Venture
Director with California Technology Ventures, LLC. He was one of the
founders of Monterey Networks which pioneered the industry's first
wavelength router. Cisco acquired Monterey in 1999 and Zareh went on to
be founder and CEO of the Iris Group, creating engineering teams to
develop optical products from the network core to the edge. He holds a
Masters in Engineering Management from Santa Clara University, an
Executive Management degree from UCLA Graduate School of Management and
a BSEE from Villanova University.
